TERMS OF SERVICE & SUBSCRIPTION AGREEMENT

1. INTRODUCTION
These Terms of Service & Subscription Agreement ("Agreement") govern the conditions of use for SCO Hotel PMS and related services provided by SCO Vietnam Co., Ltd. ("SCO", "we", "our").
Customer ("Customer", "you", "your") is understood as the hotel, business, organization, or individual registering, purchasing, trialing, or using SCO Hotel PMS.
By registering an account, using a trial account, subscribing to a service package, making a payment, or using SCO Hotel PMS, the Customer acknowledges that they have read, understood, and agreed to this Agreement.
2. SCO HOTEL PMS
SCO Hotel PMS is a software platform supporting hotel operations management, which may include:

Property Management System (PMS);

Reservation management;
-
Guest management;
-
Front Office;
-
Check-in and Check-out;
-
Room management;
-
Housekeeping management;
-
Guest Folio management;
-
Service charge management;
-
Booking Engine;
-
Channel Manager;
-
OTA connection;
-
Rate and room availability management;
-
Reports and statistics;
-
API and third-party system integration;
-
Other functions provided according to each service package.
Specific features depend on the service package, version, configuration, and commercial agreement between SCO and the Customer.
3. USERS
Customers must provide accurate, complete, and updated information when registering an account.
Customers are responsible for:

Securing login credentials;
-
Managing user accounts;
-
Granting access only to authorized personnel;
-
Deleting or disabling accounts of employees who no longer work there;
-
Not sharing accounts without authorization;
-
Notifying SCO upon detecting or suspecting unauthorized account access.
Customers are responsible for activities performed through their accounts.
4. SERVICE DELIVERY METHODS
SCO may provide SCO Hotel PMS in one or more methods:
4.1. Cloud
Customers use the software on the Cloud infrastructure provided by SCO or SCO's infrastructure partners.
4.2. Self-Hosted
The software is deployed on infrastructure managed or controlled by the Customer under the terms of the Self-Hosted license.
4.3. Additional Services
SCO may provide additional services such as:

Channel Manager;
-
API;
-
Third-party integration;
-
Training;
-
Data migration;
-
System customization;
-
Custom feature development;
-
Implementation support.
The terms and costs of additional services will be specified in a separate quotation or agreement.
5. CLOUD LITE PACKAGE
The Cloud Lite package is currently offered at a standard price of 28 USD/month, for accommodation properties with a maximum of 25 rooms, unless otherwise specified in a separate quotation or agreement.
The Cloud Lite package may include:

Hotel PMS;
-
Channel Manager;
-
Booking Engine;
-
OTA connection;
-
Reservation management;
-
Room management;
-
Guest management;
-
Guest Folio;
-
Housekeeping;
-
Reports;
-
Management functions published in the package;
-
Software updates;
-
Technical support;
-
Cloud Hosting.
SCO reserves the right to improve, change, or add features to enhance product quality.
6. SERVICE FEES
Customers pay fees according to the selected service package and billing cycle.
For the Cloud Lite package, the current standard price is:
28 USD/month.
Unless otherwise specified in the quotation or contract, the above fee includes the Cloud services provided in the package.
Third-party fees that the Customer must pay directly to the third party, such as OTA commissions, are not considered SCO fees.
Customers are responsible for:

Booking.com commission;
-
Agoda commission;
-
Expedia commission;
-
Traveloka commission;
-
Commissions of other OTAs;
-
Fees specified by OTAs or third parties.
7. INITIAL SETUP FEES
SCO may apply initial setup fees depending on the service package and deployment scope.
For customers registering for Cloud with a minimum initial term of 06 months, SCO currently applies a free initial setup policy, unless otherwise specified in a separate quotation or agreement.
The setup scope may include:

Hotel information;
-
Room types;
-
Rooms;
-
Basic configuration;
-
Room rates;
-
User accounts;
-
Booking Engine;
-
Channel Manager;
-
OTA connection instructions;
-
Other initial configurations.
Complex deployment requirements or custom development may be quoted separately.
8. TRIAL ACCOUNTS
SCO may provide trial accounts to Customers before official service registration.
Trial accounts are provided for product evaluation purposes.
Trial accounts may have limitations on:

Usage duration;
-
Number of rooms;
-
Features;
-
OTA connections;
-
Data;
-
Support.
SCO reserves the right to suspend or terminate trial accounts if they are misused or violate these terms.
9. CHANNEL MANAGER AND OTA CONNECTION
SCO Hotel PMS can connect to OTAs and distribution channels through the integrated Channel Manager.
The list of supported OTAs and channels depends on the connection system and technical capabilities of the third party.
Customers are responsible for:

Creating and maintaining valid OTA accounts;

Completing the registration process for each OTA;
-
Providing the necessary information for connection;
-
Ensuring room information, rates, and availability are accurately configured.
SCO supports connection after the Customer has successfully opened and activated the required OTA accounts.
SCO does not guarantee that a specific OTA will approve or activate the Customer's account.
10. SYNCHRONIZATION OF ROOM AVAILABILITY, RATES, AND RESERVATIONS
Channel Manager is designed to synchronize relevant information such as:

Room status;
-
Room rates;
-
Restrictions;
-
Reservations.
When a reservation is created through:
-
OTA;
-
Booking Engine;
-
Or connected channels,
the system will update the remaining room inventory and synchronize with the connected channels according to the system mechanism.
Example:
When a room is booked on Traveloka, the remaining room inventory in the PMS will be updated, and the Channel Manager system will synchronize the new room availability with connected OTAs such as Booking.com, Agoda, Expedia, Trip.com, or other channels.
However, synchronization depends on:

OTA systems;
-
Channel Manager;
-
Internet connection;
-
APIs;
-
Customer configuration;
-
Operational capabilities of third-party systems.
SCO cannot guarantee that third-party systems will not experience disruptions or delays.
Customers remain responsible for checking and monitoring reservation status and room availability.
11. BOOKING ENGINE
SCO may provide a Booking Engine allowing hotels to receive direct reservations from their website or supported channels.
Reservations from the Booking Engine will be recorded in the PMS system and update room availability according to the system configuration.
12. API AND THIRD-PARTY INTEGRATION
SCO provides APIs for supported cases to allow third-party systems to connect with SCO Hotel PMS.
APIs can be used to integrate:

POS;
-
Accounting systems;
-
Payment gateways;
-
External applications;
-
Restaurant management systems;
-
Other hotel software;
-
Systems developed by the Customer.
API usage may require:
-
Authentication;
-
API Keys;
-
Tokens;
-
Access limits;
-
Technical specifications;
-
API documentation.
Custom integration development or in-depth technical support may incur additional costs.
SCO is not responsible for errors, interruptions, or issues arising from third-party systems.
13. CUSTOMER DATA
Customers retain ownership of business and operational data entered into SCO Hotel PMS, to the extent permitted by law.
Data may include:

Hotel information;
-
Room information;
-
Room type information;
-
Reservations;
-
Guest information;
-
Room rates;
-
Guest Folio;
-
Transactions;
-
Charges;
-
Reports;
-
Other operational data.
The use of SCO Hotel PMS does not transfer ownership of Customer data to SCO.
Personal data processing is carried out in accordance with SCO's Personal Data Protection Policy and applicable laws.
14. DATA EXPORT AND RETRIEVAL
Customers have the right to request the export of their data within the scope of exportable data from the system.
SCO will provide a reasonable method for data export depending on the data type and technical capabilities of the system.
After service termination, data may be retained for the time necessary for:

Backups;
-
System recovery;
-
Legal obligations;
-
Dispute resolution;
-
System security.
After the necessary retention period, SCO may delete or anonymize data in accordance with regulations.
15. LAWFUL USE
Customers must not:

Use the system for illegal purposes;
-
Access the system without authorization;
-
Bypass security measures;
-
Distribute malicious code;
-
Attack or disrupt the system;
-
Abuse APIs;
-
Interfere with the database without authorization;
-
Reverse engineer without authorization;
-
Copy or distribute the software without authorization;
-
Resell or sublicense to a third party without SCO's permission;
-
Violate the intellectual property rights of SCO or third parties.
SCO reserves the right to suspend accounts if necessary to protect the system, data, or users.
16. SOFTWARE UPDATES
For Cloud, SCO may provide:

Bug fixes;
-
Security updates;
-
Performance improvements;
-
New features;
-
Interface improvements;
-
Compatibility updates.
Updates within the scope of the Cloud package are included in the subscription fee.
For Self-Hosted, the update policy applies according to the corresponding license or quotation.
17. SERVICE AVAILABILITY
SCO makes efforts to maintain the stability and availability of the Cloud service.
However, the service may be affected by:

Maintenance;
-
Infrastructure incidents;
-
Cloud providers;
-
Internet issues;
-
OTA issues;
-
Channel Manager issues;
-
Third-party APIs;
-
Force majeure events.
SCO will take reasonable measures to restore the service when an incident occurs.
18. INTELLECTUAL PROPERTY RIGHTS
SCO and its licensors retain all rights to:

SCO Hotel PMS software;
-
Source code;
-
System architecture;
-
Interface;
-
Design;
-
Documentation;
-
Trademarks;
-
Logos;
-
Software components;
-
Technology;
-
Technical processes.
Customers are only granted the right to use the software within the scope of the purchased service package or license.
No software ownership is transferred to the Customer without a written agreement.
19. CONFIDENTIALITY
Each party is responsible for protecting confidential information received from the other party.
Confidential information does not include information that:
-
Is already public;
-
Was legally known to the receiving party prior to receipt;
-
Was independently developed;
-
Must be provided as required by law or competent authorities.
20. PAYMENT
Customers are responsible for making full and timely payments as agreed.
If a payment is overdue, SCO may send a payment request notice.
In the event that the fee remains unpaid after a reasonable period, SCO may suspend the service.
SCO will attempt to notify the Customer before suspending the service if practical conditions permit.
21. RENEWAL AND CANCELLATION
Customers may request service cancellation in accordance with the terms of the subscription package.
Unless otherwise agreed:

Cancellation will prevent renewal for the next cycle;
-
Customers continue to use the service until the end of the paid period;
-
Paid fees are non-refundable, unless required by law or otherwise agreed by both parties.
After termination, the Customer may request data export in accordance with SCO's data policy.
22. TERMINATION FOR BREACH
Each party has the right to request termination of the Agreement if the other party materially breaches its obligations and fails to remedy the breach within a reasonable period after receiving notice.
SCO may suspend or terminate immediately in the event of:

Fraud;
-
Unlawful use;
-
System attacks;
-
Serious threats to system security;
-
Material violation of third-party rights.
23. CUSTOMER RESPONSIBILITIES
Customers are responsible for:
-
Hotel business operations;
-
Data entered into the system;
-
Room rates;
-
Room availability;
-
Room configuration;
-
OTAs;
-
Room sales policies;
-
Legal compliance;
-
Employee access rights;
-
Data accuracy.
SCO is a technology provider and does not replace the Customer's management, operational, or business decision-making responsibilities.
24. LIMITATION OF LIABILITY
To the extent permitted by law, SCO is not liable for indirect, special, consequential damages, or loss of profits due to:
-
OTA incidents;
-
Third-party incidents;
-
Incorrect configuration by the Customer;
-
Incorrect data entered by the Customer;
-
Loss of Internet connection;
-
Customer equipment failure;
-
Use of the system not in accordance with instructions.
This term does not exclude liability that Vietnamese law does not permit to be excluded or limited.
25. FORCE MAJEURE
Neither party shall be liable for delay or failure to perform obligations due to events beyond reasonable control, including:

Natural disasters;
-
War;
-
Epidemics;
-
Decisions of government authorities;
-
Widespread Internet infrastructure incidents;
-
Cloud incidents;
-
Incidents of third-party service providers;
-
Telecommunications incidents;
-
Other force majeure events according to the law.
26. CHANGES TO TERMS
SCO may update these Terms to reflect:
-
Changes in law;
-
Changes in products;
-
Changes in services;
-
Security improvements;
-
Changes in business model.
The updated version will be published on SCO's website.
For important changes, SCO will notify the Customer using appropriate methods.
27. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of Vietnam.
Any disputes arising from or related to the Agreement will first be prioritized for resolution by both parties through good faith negotiations.
If it cannot be resolved through negotiation, the dispute will be referred to a competent Court in Vietnam in accordance with the law.
